Terms of Service

PLEASE READ THESE TERMS CAREFULLY. These Terms of Service ("Terms") govern access to and use of StreamEcon, including its websites, dashboards, creator tools, overlays, APIs, bots, integrations, communications, and related services (collectively, the "Service"). By creating an account, accepting an invitation, accessing an authenticated area, or otherwise using the Service, you agree to these Terms and the policies incorporated by reference.

1. Operator and Contact

The Service is operated under the StreamEcon name by John Sacco ("StreamEcon," "we," "us," or "our"). Legal and support inquiries may be sent to support@streamecon.com.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. You may not use the Service if applicable law prohibits you from doing so. If you use StreamEcon on behalf of an organization, you represent that you are authorized to bind that organization.

3. Invitation-Only Access and Accounts

Registration may require a valid invitation. Invitations are revocable, may expire, may be limited in uses, and do not guarantee continued access. You must provide accurate account information, maintain a secure password, protect access to your email account and connected services, and promptly notify us of suspected compromise. You are responsible for activity performed through your account unless caused by StreamEcon's own security failure.

Accounts remain inaccessible until required email verification is completed. We may suspend or disable accounts for security, legal, operational, or policy reasons. You may not sell, transfer, rent, sublicense, or share accounts in a way that defeats security or authorization controls.

4. Workspaces and Roles

StreamEcon is multi-tenant. Workspaces are logically separated creator environments. Workspace owners control permitted workspace settings, connected services, and member roles. Granting another person administrative or moderation authority may allow that person to make consequential changes. You are responsible for assigning roles appropriately.

5. Connected Platforms and Third-Party Services

The Service may connect to Twitch and other third-party platforms using OAuth, APIs, webhooks, or similar mechanisms. Third-party services are governed by their own terms and policies. StreamEcon does not control their availability, rules, data, moderation decisions, rate limits, or account actions. You are responsible for complying with the rules of every third-party service you connect.

Third-party access may stop working because of platform changes, revoked permissions, outages, token expiration, account restrictions, API changes, or other circumstances outside our control. We may modify or discontinue an integration if necessary to maintain security or compliance.

6. Media Metadata and Now Playing

StreamEcon may provide read-only media-metadata display features, including browser-source overlays that show titles, artists, album information, artwork, timing information, or similar metadata supplied by a user device or authorized third-party source. StreamEcon does not grant any license to play, reproduce, publicly perform, synchronize, rebroadcast, capture, distribute, or otherwise exploit music or other media. You are solely responsible for the audio and media you capture or transmit through OBS, a streaming platform, or any other service, and for obtaining all licenses, permissions, and clearances required by copyright law, platform rules, and third-party terms.

StreamEcon may decline, limit, or disable a metadata source where the applicable provider rules do not permit the intended streaming or overlay use. A disclaimer or user consent does not override a third-party provider's developer terms.

7. Creator Tools, Automation, and Moderation

StreamEcon provides configurable automation such as chat commands, timers, overlays, moderation tools, banned-word actions, and viewer management. Automated actions can have real effects on connected accounts, including deleting messages, timing out or banning users, changing moderator roles, or changing stream-visible data. You are responsible for reviewing your configuration and deciding when automation is appropriate.

No automated moderation system is guaranteed to be error-free. False positives, missed content, duplicate events, delayed events, and third-party delivery failures can occur. You remain responsible for moderation decisions made on your channel and for periodically reviewing your settings.

8. User Content and Data

You retain ownership of content you submit or cause the Service to process, subject to rights held by others. You grant StreamEcon a limited, non-exclusive license to host, process, display, transmit, transform, back up, and otherwise use that content only as reasonably necessary to provide, secure, maintain, troubleshoot, and improve the Service and to comply with law.

You represent that you have the rights necessary to submit or process content through the Service. You may not use StreamEcon to infringe intellectual property, privacy, publicity, contractual, or other rights.

9. Public Pages and Overlays

Some workspace information may be intentionally published through public dashboard pages or browser-source overlays. Public visibility settings are controlled by workspace users with appropriate permissions. You are responsible for deciding what to make public. Browser-source URLs or tokens intended to remain private should not be intentionally published or shared beyond their intended use.

10. Payments and Donations

Payments & Donations features may be introduced in the future. Unless and until those features are activated, StreamEcon does not itself process creator donations. Where third-party payment processors are used, payment processing is subject to the processor's terms, fees, disputes, reversals, compliance requirements, and availability. StreamEcon will not intentionally store full payment-card numbers or card verification values unless the Service explicitly changes and provides updated disclosures.

11. Fees

The Service may currently be offered without a subscription charge. Free access does not create a perpetual right to free service. If paid plans or fees are introduced later, we will provide notice and any required disclosures before charging you. Separate third-party service or payment-processing fees may still apply.

12. Acceptable Use

You must comply with the Acceptable Use Policy. Without limitation, you may not use StreamEcon for unlawful conduct, malware, credential theft, harassment, threats, fraud, spam, evasion of platform enforcement, unauthorized surveillance, exploitation of minors, or attempts to disrupt the Service or other users.

13. Security and Testing

You may not probe, scan, exploit, reverse engineer for malicious purposes, bypass authentication, access another workspace without authorization, scrape non-public data, defeat rate limits, or conduct load/security testing against production systems without prior written permission. Responsible reports of security concerns should be sent privately to support@streamecon.com.

14. Intellectual Property

StreamEcon's software, branding, designs, documentation, interfaces, and original content are owned by StreamEcon or its licensors and are protected by applicable law. These Terms grant only the limited right to use the Service as provided. They do not transfer ownership of StreamEcon intellectual property.

15. Feedback

If you voluntarily provide ideas, suggestions, or feedback, you grant StreamEcon permission to use that feedback without restriction or compensation, provided this does not transfer ownership of your pre-existing intellectual property.

16. Availability, Changes, and Beta Features

The Service is under active development and may contain beta or experimental functionality. Features may change, fail, be removed, or be unavailable. We may perform maintenance or modify architecture, APIs, limits, integrations, and user interfaces. We will make reasonable efforts to avoid unnecessary disruption but do not guarantee uninterrupted availability.

17. Backups and Data Loss

We may maintain operational backups, but the Service is not a guaranteed archival or backup service. You should retain independent copies of information that is important to you. To the maximum extent permitted by law, StreamEcon is not responsible for losses caused solely by a user's failure to keep appropriate independent records.

18. Suspension and Termination

You may stop using StreamEcon at any time. We may suspend or terminate access where reasonably necessary for security, legal compliance, policy violations, fraud prevention, third-party platform requirements, prolonged inactivity, or protection of the Service or others. Where appropriate, we may provide notice or an opportunity to cure, but immediate action may be taken for serious risks.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." STREAMECON DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED. WE DO NOT WARRANT THAT AUTOMATION, MODERATION, THIRD-PARTY DATA, INTEGRATIONS, OR AVAILABILITY WILL BE ERROR-FREE OR UNINTERRUPTED.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STREAMECON AND ITS OPERATORS, CONTRIBUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. WHERE LIABILITY CANNOT BE EXCLUDED, AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO STREAMECON FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100, EXCEPT WHERE APPLICABLE LAW REQUIRES A DIFFERENT RESULT.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless StreamEcon and its operators from third-party claims arising from your unlawful use of the Service, your content, your violation of these Terms or applicable law, or your infringement of another person's rights. This section does not require you to indemnify StreamEcon for StreamEcon's own unlawful conduct or gross negligence where such exclusion is prohibited.

22. Governing Law and Venue

Except where mandatory consumer law provides otherwise, these Terms are governed by the laws of New Jersey, United States, without regard to conflict-of-law principles. Any court proceeding not subject to a mandatory alternative forum will be brought in a court with proper jurisdiction in that location. Nothing in these Terms waives rights that cannot lawfully be waived.

23. Changes to These Terms

We may update these Terms as the Service evolves or legal requirements change. Material updates may require renewed acceptance before continued authenticated use. StreamEcon records the version and time of acceptance for audit purposes.

24. General

If any provision is unenforceable, the remaining provisions remain effective and the invalid provision will be interpreted as closely as lawful to its intended purpose. Failure to enforce a provision is not a waiver. These Terms, together with incorporated policies, form the agreement concerning use of the Service.
